Technology/IP transactions


Inveniam has 20+ years’ experience in tech transfer, having participated in 100+ licensing deals. We accompany our clients throughout the entire technology transfer process.

We work closely with our clients to appropriately select specific technologies from their portfolios, based on the technologies’ applications, their development stage (such as the existence of proof of concept, prototypes, etc.), the intellectual property position, value proposition, likelihood of success and market potential.

Our team utilizes various approaches, resulting in different business models specific to the client and the technologies’ characteristics. We evaluate and select the best commercialization route for each technology, such as:

  • Sales of IP assets

When licensing technology, we accompany our clients through the whole cycle, from initial review through closing, to ensure that the technology is properly valuated and commercialized and the potential income is maximized, including the following services:

  • Development of an appropriate licensing strategy: such as exclusive vs. non-exclusive licenses, for certain territories or worldwide, for certain applications or for all uses.
  • Preparation of appropriate marketing materials, both for the preliminary non confidential package and for the subsequent in-depth confidential technology description.
  • Identification and contact of potential licensees and generation of licensing offers for the technology: approaching the key industries in the field, at the executive decision level.
  • Advise and manage the negotiation of received offers: we qualify the offers against the client’s expectations, the market valuation, the technologies strength and development stage and the general economic environment.
  • Management of the licensing due diligence process.
  • Assist in the negotiation and completion of any final agreement: our experienced team will review the commercial terms of the agreement to maximize benefits and protect the client’s interest.

Valuation Services


Business valuation requires a solid grasp of both how value has been created prior to the valuation date, and how it will continue to be created in the future. The foundation of business valuation is the ability to understand how a company cultivates ideas or concepts and deploys its invested capital, aiming to drive returns in excess of its cost of capital.

The process of value creation does not follow a single path, but rather follows many paths that vary by industry and the company’s position in its life cycle. Valuation is impacted by a multitude of factors such as the subject company’s industry, its stage of development and the source of the invested capital. In addition, the variety of purposes for which business valuations are performed, the influence of local jurisdictional rules and available valuation methods further increase the complexity of business valuation.

With regards to Industrial and Intellectual Property, we leverage our extensive knowledge in tech transfer to offer IP valuation. Companies require intellectual property valuation for numerous critical reasons, including pricing and strategic purposes, to secure financing or for tax compliance. The firm’s professionals provide estimations of the useful lives of intangibles and determinations of market royalty rates.
